Fortive Q3 2026: GAAP EPS up 63% to $0.57, but adjusted net earnings rose just 3.1% as buybacks did the work
Q3 · Fiscal year 2026 · Published by Pham Hop
Fortive's Q3 2026 sales rose 7.8% (7.2% core) to $1.11B and GAAP EPS jumped 63% to $0.57, but adjusted net earnings rose only 3.1%: lapping a $38M spin-off cost, an $18M tariff refund and an 8.8% smaller share count did most of the work; full-year adjusted EPS guidance was raised to $3.10–$3.14.
At a glance
- Core sales +7.2%: a real acceleration, driven by Intelligent Operating Solutions (IOS, test tools and facility software), where volume rose 7.0%.
- Adjusted net earnings +3.1%, adjusted EPS +13.2%: almost all of the per-share growth came from Fortive buying back its own stock, not from higher profit.
- Healthcare margin −170 bps: Advanced Healthcare Solutions (AHS) grew volume just 0.3%, and its adjusted EBITDA fell 4.8%. That is the weak spot in the quarter.
EPS +63% laps a $38M spin-off cost and adds an $18M tariff refund; ex one-offs pretax profit +7.5%, adj. net earnings +3.1%, and 8.8% fewer shares drove most of adj. EPS +13%
The reported figures look better than the underlying business: one-off gains, a prior-year charge that did not recur, a lower tax rate, buybacks or reserve releases did much of the work.

Fortive's third quarter of 2026 (the three months ended October 2, 2026) was its strongest quarter for sales growth since it spun off Ralliant, its former Precision Technologies business, in June 2025. Sales rose 7.8% to $1,107.5 million. Core growth, which strips out acquisitions and currency swings, was 7.2%, up from 6.7% in Q2. Diluted earnings per share (EPS) from continuing operations jumped 63% to $0.57, but most of that jump is accounting noise. A year ago the quarter carried $38.3 million of one-off spin-off costs, and this quarter got an $18.0 million tariff refund. Set those aside and pretax profit grew about 7.5%. Even the company's own adjusted net earnings rose only 3.1%. An 8.8% smaller share count, paid for partly with debt, is what turned that into 13% adjusted EPS growth.

Operating margin is the share of sales left after running the business, before interest and tax. Adjusted EBITDA is Fortive's own profit measure. It also leaves out interest, tax, depreciation, amortization of acquired intangibles and one-off items.
Takeaway: The sales story is genuinely better: core growth sped up to 7.2%, with IOS volume up 7.0%. The earnings story is mostly financial engineering. Adjusted net earnings grew 3.1% while adjusted EPS grew 13.2%, because the share count fell 8.8%. Interest expense rose 53% as debt helped fund those buybacks. Healthcare (AHS) margins went backwards for a second quarter running.
Where the growth came from
Intelligent Operating Solutions (69% of sales). Revenue rose 9.8% to $767.1 million, and core growth was 9.1%. Price added 2.1% and volume 7.0%. The filing says "demand in professional instrumentation was the largest contributor," with facilities and asset lifecycle software and gas detection equipment "also driving strong growth." North America led, with solid growth in EMEA and Latin America. The segment's operating margin rose 320 bps to 29.1%. Only 95 bps of that came from operations: volume, price and productivity, net of higher pay, product mix and inflation. Another 225 bps came from tariff refunds ($17.3 million of the $18.0 million total) and 85 bps from lower amortization. A $6.2 million write-off of capitalized software took 85 bps back. IOS adjusted EBITDA rose 13.6% to $274.7 million, a 35.8% margin (34.6% a year ago).
Advanced Healthcare Solutions (31% of sales). Revenue rose 3.7% to $340.4 million, with core growth of 3.1%. Nearly all of it came from price (+2.8%). Volume was up just 0.3%, "driven primarily by sterilization products." North America grew only modestly, and Asia-Pacific and Latin America did better. Operating margin fell 170 bps to 11.2%. Before accounting items the drop was 220 bps, which the filing pins on "product mix, higher employee costs and inflation" outweighing price and productivity. Adjusted EBITDA fell 4.8% to $87.9 million, and the margin went from 28.1% to 25.8%.
Corporate. Unallocated corporate costs fell from $63.6 million to $25.7 million. Last year's figure included $33 million of extra stock-based pay tied to the spin-off, which did not recur.
What the headline numbers hide
- Most of the 580 bps margin jump is not operational. By management's own bridge, better operations added 35 bps. The rest came from items that don't repeat: 370 bps from not repeating last year's spin-off stock-pay charge, 160 bps from tariff refunds, 95 bps from lower amortization and 5 bps from less restructuring.
- Underlying pretax profit grew about 7.5%, not 50%. Reported pretax profit rose from $135.0 million to $202.3 million. Strip out the items Fortive itself excludes, except amortization, and it rose from $174.9 million to $188.1 million. Those items are spin-off and deal costs, restructuring, currency gains on euro debt, the tariff refund and the software write-off. This is our calculation from the release's reconciliation.
- Buybacks did most of the per-share work. Fortive bought 5.0 million shares in Q3 for about $300 million, at an average of $60.14. Diluted shares were 8.8% lower than a year ago. Adjusted net earnings grew 3.1%, so most of the 13.2% adjusted EPS growth came from dividing profit among fewer shares.
- The buybacks are partly borrowed. Q3 free cash flow was $283.8 million (cash from operations minus capital spending). Buybacks ($300.1 million) and dividends ($38.9 million) came to about $339 million. Total debt rose from $3,206 million at year-end to $3,514 million. Net interest expense rose from $25.4 million to $38.8 million, which the filing puts down to a higher average interest rate, lower cash and "larger debt levels."
- Tax did not help. The effective tax rate rose to 14.7% from 13.3%, a small drag rather than a boost.
- The adjusted figure is reasonably conservative. It removes the $0.06-per-share tariff refund gain, not just costs, and adds back the $0.02 software write-off. The biggest adjustment is $0.29 of amortization of acquired intangibles, which Fortive excludes every quarter.
- Cash conversion is strong. Year-to-date operating cash flow from continuing operations was $832.4 million, against $466.2 million of net earnings. Most of the gap is $274.0 million of non-cash amortization. Receivables fell from $683.6 million at year-end to $669.5 million while sales grew. Inventory rose 8.0% since year-end to $315.2 million, roughly in line with sales growth.
On balance the quarter is flattered. GAAP EPS rose 63% mainly because a $38 million spin-off cost from last year did not recur and an $18 million tariff refund arrived. Even on the adjusted measure, fewer shares did most of the work, not higher profit.
Did last time's read hold up?
Our Q2 2026 report named three things to watch. IOS volume near 5%: it beat that, at 7.0% in Q3. AHS turning sterilization volume into margin: it did not. Volume growth slowed to 0.3% from 3.4% in Q2, and operating margin fell 170 bps. Debt-funded buybacks against rising interest: both continued. The share count fell another 5 million shares in the quarter, and net interest expense was 53% higher than a year ago.
Outlook
Management raised full-year 2026 adjusted EPS guidance to $3.10–$3.14, from $2.95–$3.05 in July. It calls that about 15% growth at the midpoint. Adjusted EPS through nine months is $2.21 ($0.70 + $0.74 + $0.77), so the range implies about $0.89–$0.93 in Q4. The fourth quarter is usually Fortive's strongest for cash flow. No revenue or core-growth figure was given in the release.
Our view: the sales acceleration in IOS looks real. It is volume-led, broad across instruments, software and gas detection, and backed by rising free cash flow. Two things will tell whether the earnings growth holds up once the tailwinds fade. First, can AHS stop losing margin to product mix and wage costs? Second, the $66.7 million left on the special repurchase program and 12.7 million shares on the general one limit how much more the share count can shrink, while higher interest costs eat into what's left. Tariff refunds ($22.5 million so far this year) are uncertain in timing and size, and Fortive excludes them from adjusted results.
