Thermo Fisher grew Q2 2026 revenue 10% to $11.99bn, but half of that came from the Clario and Solventum filtration acquisitions — organic growth was 5%, led by an entirely organic 7% gain and 4.2-point margin jump at Analytical Instruments.

Overview
Thermo Fisher's second quarter of 2026 (the three months ended June 27, 2026) produced $11.99 billion of revenue, up 10% from $10.86 billion a year earlier, and GAAP diluted earnings per share of $4.68, up 9%. Both headline numbers look strong. Both also overstate how much the underlying business actually grew.
Half of the revenue increase came from companies Thermo Fisher bought rather than from selling more of what it already sold. The company's own reconciliation splits the 10% as follows: acquisitions contributed 5 percentage points, favourable currency movements 1 point, and organic growth — the growth left over once you strip out acquisitions, disposals and currency swings, i.e. the part that reflects the existing business genuinely selling more — was 5%.
That 5% organic figure is the number to anchor on, and it is a real improvement. Management's read of the demand environment, in the filing's own words: "During the second quarter of 2026, customer activity continued to strengthen across our end markets. Revenue growth was strong in the pharma and biotech market, with performance driven by strengthening underlying market conditions." Sales grew in every major geography, with Europe and Asia-Pacific — including China — called out as strong.

"Segment margin" is segment operating income as a share of that segment's revenue, measured before certain charges — it is how management judges each business, not a GAAP figure. "pt" means percentage point.
Read across that table and the ranking inverts. Life Sciences Solutions posts the biggest headline number (+13%) and the smallest organic one (+3%). Nine of its thirteen points came from the filtration and separation business bought from Solventum in September 2025. The filing is explicit that the two effects are tangled together: bioproduction revenue "grew $196 million, which contributed 8 percentage points of reported growth in the segment, driven by higher demand from pharma and biotech customers, as well as the impact from the 2025 acquisition." Underlying demand for bioproduction materials is genuinely recovering; it is not recovering at 13%.
Analytical Instruments is the opposite case and the quarter's standout. All 7 points of its growth were organic — no acquisition contribution, no currency contribution — spread across all three of its businesses, led by electron microscopy (+$55 million), then chromatography and mass spectrometry (+$37 million) and chemical analysis (+$26 million). Those three sum to $118 million against a $119 million total increase, confirming the growth is broad rather than one product line. More striking is the profitability: segment margin jumped 4.2 points to 23.0%, by far the largest margin move in the company, which the filing attributes to "very strong productivity improvements, favorable volume leverage, and the favorable impact of foreign exchange." Instruments are capital equipment — customers defer buying them when budgets tighten — so a 7% organic gain here is a meaningful signal that laboratory capital spending has turned.
Laboratory Products & Biopharma Services, at 56% of revenue the largest segment, grew 12% reported and 5% organic. The gap is Clario, the clinical-trial data business acquired on March 24, 2026: clinical research revenue "grew $441 million, which contributed 7 percentage points of reported growth in the segment, primarily driven by the impact of the Clario acquisition." Organic strength came from the research and safety channel (+$153 million) and pharma services (+$99 million).
Specialty Diagnostics delivered 5% organic growth on healthcare channel (+$36 million), clinical diagnostics (+$14 million) and immunodiagnostics (+$14 million) — solid, and it is the segment being actively reshaped (see the microbiology sale below).
Margin: the gain is in overheads, not in production
Thermo Fisher does not report a gross margin line, but it can be derived from the income statement. Combined cost of product and service revenues was $7,112 million on $11,994 million of revenue, a 40.7% gross margin, against $6,446 million on $10,855 million, or 40.6%, a year ago — essentially flat.
So the 0.5 point improvement in GAAP operating margin did not come from making things more cheaply. It came from operating costs growing slower than revenue: selling, general and administrative expense fell to 19.5% of revenue from 19.7%, and research and development to 3.0% from 3.2%. Both lines rose in absolute dollars (SG&A $2,333M vs. $2,140M; R&D $364M vs. $352M) but by less than the 10% revenue increase — which is exactly what the arrival of a large, already-scaled acquisition does to a cost ratio. Running the other way, restructuring and other costs rose to $98 million from $82 million.
Management's stated explanation is consistent with an overhead-driven gain: margins "increased in the second quarter of 2026 due primarily to strong productivity improvements, offset in part by unfavorable business mix." The mix drag is visible in the segment table — the fastest-growing segment, Laboratory Products & Biopharma Services, earns a 14.0% margin against 37.0% at Life Sciences Solutions, so growing faster in the low-margin business mechanically pulls the blended margin down. That Thermo Fisher expanded margin anyway is the more durable point. It also implies the R&D ratio is falling as a by-product of the acquisition rather than by design, which is worth monitoring in a business that sells on innovation.
Why 14% operating growth became 9% EPS growth
Operating income rose $253 million. Net income attributable to shareholders rose only $119 million. The gap is entirely below the operating line, and both causes trace back to how Thermo Fisher paid for Clario.
Net interest expense nearly doubled, to $194 million from $107 million. Interest expense itself barely moved ($401M vs. $404M); what changed is interest income, down to $207 million from $297 million, because the cash that was earning it is gone. Cash and equivalents fell to $4.06 billion at June 27, 2026 from $9.85 billion at December 31, 2025, while total debt rose to $42.55 billion from $39.38 billion. The filing names the causes directly: the increase was "due primarily to the increase in debt for general corporate purposes and the company's capital deployment initiatives, which included financing stock buybacks, paying dividends, and acquiring Clario."
The GAAP tax rate rose to 8.7% from 5.4%. Both rates are far below the US statutory rate because of large one-off deferred tax benefits — $175 million from recognising tax attributes on domestication transactions plus $148 million from deferred tax assets now expected to be realised in the first half of 2026, against $371 million of comparable benefits in the first half of 2025. The year-ago quarter simply had more of them. That 3.3-point swing cost roughly $63 million of net income, about $0.17 per share.
Equity in earnings of unconsolidated entities also swung to a $15 million loss from a $2 million gain, while other income improved $50 million.
Working the other way, share buybacks did meaningful work: weighted average diluted shares fell to 371 million from 378 million, a 1.9% reduction, which converts 7.4% net income growth into 9.3% EPS growth. Thermo Fisher repurchased $4.00 billion of stock (6.9 million shares) in the first half, double the $2.00 billion in the same period of 2025, and had $1.00 billion left under its $5.00 billion November 2025 authorisation as of July 31, 2026. The dividend declared rose to $0.47 per share from $0.43.
None of this is distress — it is the arithmetic of spending $9.1 billion on an acquisition and $4.0 billion on buybacks in six months while interest rates make idle cash valuable. But it means EPS growth will keep lagging operating growth until the acquired earnings fully annualise.
Takeaway: Strip out the two acquisitions and the quarter still stands up — 5% organic growth, and Analytical Instruments' entirely organic 7% gain with a 4.2-point margin jump is the clearest evidence yet that laboratory capital spending has genuinely recovered. The caution is that Thermo Fisher funded that headline by drawing cash down from $9.9 billion to $4.1 billion and adding $3.2 billion of net debt, which is why 14% operating income growth arrived as 9% EPS growth.
Portfolio reshaping: $9.1bn in, $1.1bn out
Clario closed March 24, 2026 at a total purchase price of $9.10 billion ($5.81 billion cash paid, $3.18 billion of acquired debt settled, plus payables and contingent consideration, net of cash acquired). The allocation is intangible-heavy and typical of a data/software business: $5.93 billion of goodwill, $2.51 billion of customer relationships, $844 million of product technology and $423 million of backlog. The goodwill is not tax deductible — meaning Thermo Fisher gets no tax shield from it, one reason the company's cash tax payments run above its book tax expense. The allocation is explicitly preliminary and subject to revision "largely with respect to acquired intangible assets, contract liabilities and the related deferred taxes," so the amortisation charge could shift.
Going the other way, on April 27, 2026 Thermo Fisher agreed to sell its microbiology business to Astorg for roughly $1.075 billion (cash plus a $50 million seller note). It sits within Specialty Diagnostics, carries $228 million of current and $760 million of long-term assets, and is expected to close in the third quarter of 2026. Together the two transactions move the portfolio further toward pharma services and data and away from lower-growth diagnostics consumables.
Restructuring is concentrated where the integration is. Of the $98 million of restructuring and other costs in the quarter ($147 million year to date), $62 million sat in Laboratory Products & Biopharma Services — the Clario segment. Year-to-date charges include $60 million of impairments of long-lived assets in that same segment, and severance actions in 2026 have affected roughly 1% of the workforce. As of July 31, 2026 the company had identified approximately $220 million of additional restructuring charges still to come, "primarily in the Laboratory Products and Biopharma Services segment," mostly in 2026, and expects to identify more. That is a specific, quantified cost still ahead, and a reason the segment's 14.0% margin should be read as a work in progress.
Cash flow — strong, but read the comparison carefully
Free cash flow — cash generated by operations after spending on property and equipment, the money genuinely available for acquisitions, buybacks and debt repayment — was $1,678 million in the quarter, up 52% from $1,105 million. For the half it was $2,503 million against $1,479 million, up 69%.
That half-year improvement is flattered by timing rather than being wholly operational. The filing notes cash payments for income taxes were $0.67 billion in the first half of 2026 versus $1.20 billion in the first half of 2025 — a $0.53 billion swing that accounts for roughly half the $1.02 billion improvement — and that the 2025 comparison was itself depressed because "changes in other assets and liabilities used cash of $1.43 billion primarily due to the timing of payments for compensation and income taxes." With full-year 2026 cash taxes guided to about $1.5 billion, much of that benefit reverses in the second half. The underlying conversion is still healthy; it is not 69% better.
Financing in the half: $5.24 billion of debt issued, $1.41 billion repaid, $4.00 billion of buybacks and $0.34 billion of dividends. Acquisitions used $8.87 billion of cash. No borrowings were outstanding under the $5.00 billion revolving credit facility at quarter end.
Guidance and outlook
Thermo Fisher raised its full-year 2026 outlook on the July 23 earnings call (guidance is not contained in the 10-Q itself; figures as reported from the call by BigGo Finance): revenue of $47.4–48.1 billion, organic growth of about 4% — the upper end of the prior 3–4% range — and adjusted EPS of $24.93–25.33, a $0.25 increase at the midpoint. CEO Marc Casper's framing was that "at the halfway point of the year, we are well positioned to deliver a great 2026."
Guidance drawn from the filing itself: a GAAP effective tax rate of 9–11% for 2026 and an adjusted rate of about 11.5% (both above the 8.7% booked this quarter, so tax remains a second-half headwind to GAAP earnings), cash tax payments of about $1.5 billion, and net capital expenditure of $1.9–2.1 billion.
Our read. The gap between the 5% organic growth delivered in the second quarter and the roughly 4% guided for the full year reflects a weak first quarter rather than an expected slowdown — first-half organic growth was 3%, so holding 5% in the second half would land the year above 4%. Guidance looks conservative on that arithmetic.
Three things determine whether the second half matches the first. Analytical Instruments is the one to watch: a 7% organic, all-three-businesses quarter in capital equipment is either the start of a genuine replacement cycle or an easy comparison against a weak 2025, and one more quarter will distinguish them. Laboratory Products & Biopharma Services has to convert Clario into margin — 14.0% with $220 million of restructuring still to book leaves plenty of room, but also plenty that can go wrong in an integration. And the financial structure now has less slack: $4.1 billion of cash, $42.5 billion of debt, $1.0 billion left on the buyback authorisation and a rising tax rate mean the next leg of EPS growth has to come from operations rather than from the balance sheet.
The core of the quarter holds up under scrutiny. Organic growth accelerated, the acceleration is broad across geographies and segments, and margins expanded despite an unfavourable mix — but investors reading the 10% headline should know that 5 of those points were bought.
