Ecolab Q3 2026: organic sales up 7% on 5% pricing, but CoolIT deal costs cut GAAP EPS 5% to $1.95

Q3 · Fiscal year 2026 · Published by Pham Hop

Ecolab's Q3 2026 sales rose 12.7% to $4.69B on 7% organic growth (pricing +5%, volume +2%) and adjusted EPS rose 5% to $2.18, but GAAP EPS fell 5% to $1.95 as CoolIT financing more than doubled interest costs and deal charges rose; full-year guidance narrowed to $8.10–$8.20.

At a glance

  • Organic sales +7% (pricing +5%, volume +2%): the fastest organic growth of 2026 so far (Q2 was +5%), and volume improved even though Middle East disruptions are still hurting some customers.
  • Net interest expense $124.8M vs. $55.3M: the cost of borrowing about $5 billion for CoolIT and Ovivo Electronics. It is the main reason pre-tax income fell 3% while operating income rose 7%.
  • Acquisitions added $244.9M of sales but only $23.4M of operating income after amortization (about 10% margin, against 19.6% for the rest of the company), so the deals lowered this year's earnings per share, as management had warned.
Earnings qualityUnderstated

GAAP EPS -5% but adjusted +5% and organic operating income +11%: $0.23/share of mostly deal-related special charges (vs $0.08) and no repeat of a $0.06 prior-year tax benefit

The reported figures look worse than the underlying business: one-off charges, settlements, impairments or a harsh prior-year comparison pulled them down.

In this report

Ecolab's third-quarter sales rose 12.7% to $4.69 billion, with organic growth (sales excluding acquisitions and currency moves) of 7%, made up of 5% higher prices and 2% more volume. The underlying business improved: organic operating margin widened 0.7 points to 19.6%, and organic operating income grew 11%. But GAAP diluted EPS fell 5% to $1.95, because the debt taken on to buy CoolIT more than doubled interest expense and deal-related special charges tripled. Adjusted EPS, which strips out those special charges, rose 5% to $2.18, the exact midpoint of the $2.13–$2.23 range management gave in July.

This analysis is based on the earnings release (Exhibit 99.1 to the Form 8-K filed October 27, 2026). The full Form 10-Q, with the cash flow statement, segment margin bridges and management's discussion, is not filed yet, so cash flow, buybacks and dividends for the quarter are not covered here.

First nine months of 2026: net sales $13,176.3M (+10.9%; organic +5%); operating income $2,190.4M (+8%); net income attributable to Ecolab $1,518.8M (flat); diluted EPS $5.37 vs. $5.30 (+1.3%); adjusted diluted EPS $5.97 vs. $5.46 (+9.3%).

Takeaway: Ecolab's operations had their best quarter of the year: higher prices covered rising commodity costs, volume picked up, and organic operating income grew 11%. The fall in GAAP EPS comes from the financing side. CoolIT is so far adding interest and amortization faster than it adds profit, and that will continue through Q4, when management expects a 12-point drag on adjusted EPS growth from the deal.

Pricing kept pace with commodity costs

Gross margin, the share of sales left after paying for products, delivery and service staff, fell to 44.1% from 44.8% on a reported basis. The release says this was "due to the impact of M&A": the newly acquired businesses carry lower gross margins than Ecolab's core chemicals. Excluding acquisitions, currency and special charges, organic gross margin was 44.9% vs. 44.8%, "stable as accelerating pricing offset rising commodity costs." Raw-material costs are still rising (the release talks about "rising commodity costs" and does not mention any deflation), so the 5% pricing increase, up from 4% in Q2, is what held the margin.

Selling, general and administrative costs fell to 25.1% of sales from 25.9%. The release credits "improved productivity" and strong sales growth for outpacing "growth-oriented investments in the business and higher commodity costs." Ecolab Digital (connected devices and software) grew sales 34% to $129M.

Segment performance

Ecolab reports four segments, measured at its fixed internal exchange rates. Organic figures exclude acquisitions in their first 12 months.

SegmentQ3 2026 salesOrganic sales growthOperating income (change)Organic op. margin, Q3 26 vs Q3 25
Global Water$2,479.6M+9%$445.2M (+24%)17.5% vs 17.4%

Global Life Sciences$215.8M+17%$50.2M (+49%)23.3% vs 18.3%

Global Water (industrial water treatment, including Heavy Water, Light Water, High-Tech, Food & Beverage and Paper): sales rose 20%, of which 11 points came from the Ovivo Electronics and CoolIT acquisitions ($240.2M of sales and $53.9M of segment operating income before amortization, which Ecolab books in Corporate). Organic growth accelerated to 9% from 4% in Q2. Global High-Tech grew 63% organically (from +29% in Q2), "reflecting robust growth across both microelectronics and data centers"; this figure does not include CoolIT, which counts as an acquisition until next July. Food & Beverage grew 8%, Light Water improved, and Heavy Water and Paper "both grew" after Heavy Water fell 1% and Paper was flat in Q2. Organic operating income rose 9%.

Global Institutional & Specialty (cleaning and sanitation for restaurants, hotels, hospitals and food retail): organic sales +3%, slower than Q2's +4%. Institutional held up through "strong pricing and new business wins" despite "a mid-single-digit decline in restaurant foot traffic in North America"; Specialty grew mid-single digits. Margin rose 1.1 points to 24.7% as pricing and productivity beat commodity costs.

Global Pest Elimination: organic +8%, led by food & beverage, food retail and restaurants. Organic margin was roughly flat at 20.8% because of spending on "pest intelligence" (more than 800,000 connected pest devices deployed). Management expects this margin in "the high-teens to 20% range" over the next few quarters, still below its 22% target.

Global Life Sciences (bioprocessing and pharmaceutical cleaning and purification): organic +17% and operating income +49%. Part of the 5-point margin jump came from "favorable comparisons to last year's plant maintenance." The release says the Q4 margin should stay on its "high-teens mid-term trajectory," so 23.3% is not a new run rate.

What the headline numbers hide

  • Why GAAP EPS fell while adjusted EPS rose. Adjusted EPS excludes "special gains and charges" and one-time ("discrete") tax items. Special charges were $82.9M pre-tax ($65.2M after tax, $0.23 per share), against $26.5M ($0.08) a year ago. The biggest pieces were $42.2M of acquisition and integration costs, $18.2M of One Ecolab restructuring and $21.5M of "other." In addition, Q3 2025 had a $0.06 per share discrete tax benefit that did not recur, which is why the reported tax rate rose to 20.2% from 17.8% while the adjusted rate barely moved (20.4% vs. 20.0%). Together these explain the 10-point gap between GAAP EPS (-5%) and adjusted EPS (+5%).
  • The adjusted figure is not a cleaned-up version of CoolIT. Adjusted EPS still includes the deal's amortization and interest. Management estimates these cut adjusted EPS growth by about 10 points this quarter. Corporate amortization of acquired intangibles (the accounting write-down of customer lists, technology and similar assets bought in acquisitions) rose to $79.1M from $50.0M, including $20M for CoolIT and $10M for Ovivo. Net interest rose $69.5M, almost three times the $23.4M of operating income the acquisitions contributed after amortization.
  • "Special" charges show up every quarter. One Ecolab restructuring charges have appeared every quarter in 2025 and 2026, and management expects about $0.83 per share of special charges for full-year 2026 (Q1–Q3: $0.57). Readers who use adjusted EPS should keep in mind that these are recurring costs of Ecolab's restructuring and deal activity.
  • Buybacks did little. Diluted shares fell 1.2%, which accounts for only about one point of EPS growth. The release has no cash flow statement. The treasury-stock balance rose $670M in nine months, close to the $669M Ecolab said it repurchased in the first half, which suggests little buying in Q3 while it paid for CoolIT. The 10-Q will confirm this.
  • Working capital grew faster than sales. Receivables were $3,795M at September 30, up 22% from a year earlier, and inventories were $1,765M, up 15%, compared with sales growth of 13%. Much of this is likely acquired balances (goodwill rose to $12.7B from $9.2B at year-end), but the release does not split it out. Watch operating cash flow in the 10-Q.
  • Debt. Total debt was $13.2B (short-term $1.28B, long-term $11.9B) against $722M of cash, compared with $8.1B of debt a year ago.

On balance, the quarter's GAAP results are understated. GAAP EPS fell 5%, but organic operating income rose 11%. The drop came from $0.23 per share of mostly deal-related special charges (vs. $0.08) and the absence of a $0.06 prior-year tax benefit. The higher interest cost of CoolIT, however, is real and ongoing.

Did last time's read hold up?

Our Q2 report said the key test for Q3 was whether customers would accept 5–6% price increases (including an energy surcharge) without cutting orders, especially in Heavy Water and hospitals. They largely did. Pricing reached 5%, volume improved to +2% from +1%, and Heavy Water returned to growth. The release does not mention hospitals; Institutional's softness this time came from fewer restaurant visits. Adjusted EPS of $2.18 landed at the midpoint of the $2.13–$2.23 guidance, and special charges ($0.23) came in below the ~$0.28 management expected. We also said CoolIT's first quarter would test the $4 billion High-Tech sales target for 2030. The release gives no standalone CoolIT revenue, only that management expects it to "more than double" compared with pre-acquisition sales this year. So that test is still open until the 10-Q's acquisition disclosures come out.

Outlook

From the earnings release, management:

  • Narrowed full-year 2026 adjusted EPS guidance to $8.10–$8.20 (+8% to +9%), from $8.05–$8.25. The midpoint is unchanged, and the range includes about a 6-point drag from CoolIT amortization and financing.
  • Guided Q4 2026 adjusted EPS to $2.13–$2.23 (+2% to +7% vs. $2.08), with reported sales +12% to +14%, organic sales +6% to +7%, an adjusted operating margin of about 19% and an organic margin of about 20%. CoolIT is expected to drag about 12 points on Q4 adjusted EPS growth. Expected Q4 special charges are about $0.26 per share.
  • For 2027, expects organic sales growth at the upper end of its 5–7% target, an adjusted operating margin of 20%, and adjusted EPS growth that will "meet or exceed" its 12–15% long-term target as the deal costs are lapped.

Our read: Ecolab's underlying business is getting stronger: organic growth went from 4% in the first half to 7% now, organic margins are widening, and the High-Tech business serving chip plants and AI data centers grew 63% before counting CoolIT. Shareholders won't see much of this in Q4: guidance implies adjusted EPS growth of only +2% to +7%, which management attributes to a roughly 12-point drag from CoolIT's interest and amortization. The 2027 promise of 12–15%+ EPS growth rests on two things to check in the next reports: whether volume keeps growing once pricing slows from 5%, and whether CoolIT's profit grows fast enough to cover roughly $70M a quarter of extra interest.
